(Factored into that <strong>$1.5 billion<\/strong> estimate: A <a href=\"https:\/\/www.musicbusinessworldwide.com\/morgan-stanley-to-invest-more-than-700m-to-buy-music-kobalt\/\" target=\"_blank\" rel=\"noopener\">Morgan Stanley-powered rights acquisition vehicle<\/a> that Kobalt launched in 2023.)<\/p>\n<p><em>MBW<\/em> sources close to the talks suggest that FP is in no hurry to offload <strong>Kobalt<\/strong>, whose commercial performance has continued to improve post-FP&#8217;s acquisition under the strong leadership of CEO, <strong>Laurent Hubert<\/strong>.<\/p>\n<p><strong>Primary Wave<\/strong>, however, has access to significant resources, and may potentially be willing to pay a premium for <strong>Kobalt<\/strong> if it means FP relinquishing its stake earlier than expected.<\/p>\n<p>MBW has obtained a telling internal memo to staff sent yesterday (February 26) by Kobalt&#8217;s <strong>Hubert<\/strong> after news of the potential PW deal broke.<\/p>\n<blockquote><p>&#8220;Let me be clear: our intention is for <strong>Kobalt<\/strong> to remain an independently run company, singularly focused on delivering exceptional service for our clients globally.&#8221;<\/p>\n<p><span style=\"color: #000000;\">Laurent Hubert, Kobalt Music Group, in a memo to staff obtained by MBW<\/span><\/p><\/blockquote>\n<p>Wrote <strong>Hubert<\/strong>: &#8220;As one of the most successful independent music companies in the world, it is no surprise that there is ongoing market interest in our business. We have consistently attracted attention, particularly in recent years, reflecting the strength of our platform, our performance, and the value we create for our clients.<\/p>\n<p>&#8220;Let me be clear: our intention is for <strong>Kobalt<\/strong> to remain an independently run company, singularly focused on delivering exceptional service for our clients globally.&#8221;<\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      \n<p>With Primary Wave valued in the region of <strong>$6 billion<\/strong>, the combination of it plus Kobalt could create a <strong>$7 billion-plus<\/strong> consolidated powerhouse in music.<\/p>\n<p>It would also give <strong>Primary Wave<\/strong> ownership of Kobalt&#8217;s admin-based strength in frontline music publishing, in addition to the firm&#8217;s sister platform, the digital CMO, AMRA.<\/p>\n<p><strong>Kobalt<\/strong> <a href=\"https:\/\/www.kobaltmusic.com\/press\/kobalt-strikes-strategic-publishing-deal-with-london-based-geo-music-group-covering-funding-for-songwriters-and-admin-services\/\" target=\"_blank\" rel=\"noopener\">says<\/a> that it serves over <strong>1 million<\/strong> songs across 10 global offices. It represents songwriters including <strong>Roddy Ricch, Max Martin, Karol G, Andrew Watt, Stevie Nicks, Phoebe Bridgers, The Lumineers, The Foo Fighters,\u00a0<\/strong>and<strong>\u00a0Paul McCartney<\/strong>, among many others.<\/p>\n<p>Larry Mestel&#8217;s Primary Wave has built a formidable portfolio of iconic catalog stakes over the past decade, spanning rights in the music of Prince, Whitney Houston, <a href=\"https:\/\/www.musicbusinessworldwide.com\/primary-wave-buys-chunk-bob-marleys-catalogue-50m-deal\/\" target=\"_blank\" rel=\"noopener\">Bob Marley<\/a>, Stevie Nicks, James Brown, <a href=\"https:\/\/www.musicbusinessworldwide.com\/primary-wave-acquires-stake-in-notorious-b-i-g-catalog-in-deal-valuing-estate-at-200m\/\" target=\"_blank\" rel=\"noopener\">Notorious B.I.G.<\/a> and, most recently, <a href=\"https:\/\/www.bbc.co.uk\/news\/articles\/c0ljwyy7rrko\" target=\"_blank\" rel=\"noopener\">Britney Spears<\/a>.<\/p>\n<hr \/>\n<p>Primary Wave, founded by Mestel in 2006, saw its buying power supercharged in 2022 by a <a href=\"https:\/\/www.musicbusinessworldwide.com\/primary-wave-strikes-2-billion-deal-with-financial-giant-brookfield-to-acquire-music-copyrights\/\" target=\"_blank\" rel=\"noopener\">$2 billion partnership with Brookfield Asset Management<\/a> to fund music rights acquisitions.<\/p>\n<p>Kobalt, for its part, has been under the ownership of <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-music-group-sold-to-us-based-private-equity-firm-francisco-partners\/\" target=\"_blank\" rel=\"noopener\">US private equity firm Francisco Partners since 2022<\/a>, when it <a href=\"https:\/\/www.musicbusinessworldwide.com\/the-kobalt-sale-3-takeaways-from-the-music-industrys-biggest-story-of-the-moment\/\" target=\"_blank\" rel=\"noopener\">acquired the company<\/a> in a deal valued at approximately $750 million.<\/p>\n<p>That deal followed Sony Music&#8217;s $430 million <a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-musics-430m-acquisition-of-awal-officially-cleared-by-uk-competition-watchdog\/\" target=\"_blank\" rel=\"noopener\">acquisition of AWAL<\/a> and Kobalt Neighbouring Rights in 2021, bringing Kobalt Music Group&#8217;s total exit value <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-music-group-sold-to-us-based-private-equity-firm-francisco-partners\/\" target=\"_blank\" rel=\"noopener\">to approximately $1.2 billion.<\/a><\/p>\n<p>Goldman Sachs, which also advised Kobalt on the 2022 Francisco Partners deal, is reportedly advising on the Primary Wave transaction.<\/p>\n<hr \/>\n<p>Prior to the Francisco Partners takeover, Kobalt had sold off significant portions of its catalog, including a <a href=\"https:\/\/www.musicbusinessworldwide.com\/hipgnosis-songs-fund-buys-huge-catalog-from-kobalt-in-322-9m-acquisition\/\" target=\"_blank\" rel=\"noopener\">$322.9 million portfolio sale to Hipgnosis Songs Fund in 2020<\/a>.<\/p>\n<p>Francisco Partners retains a 90% controlling stake, with Kobalt founder Willard Ahdritz, Dundee Partners, and Matt Pincus (who sold <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-capital-buys-songs-music-publishing-around-160m\/\" target=\"_blank\" rel=\"noopener\">SONGS Music Publishing<\/a> to Kobalt Capital in 2017) also holding equity.<\/p>\n<p>The SONGS copyrights were subsequently included in <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-is-selling-a-music-catalog-for-1-billion-and-kkr-is-in-prime-position-to-buy-it\/\" target=\"_blank\" rel=\"noopener\">Kobalt Capital&#8217;s Fund II portfolio,<\/a> which was sold to Chord Music Partners for<a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-is-selling-a-music-catalog-for-1-billion-and-kkr-is-in-prime-position-to-buy-it\/\" target=\"_blank\" rel=\"noopener\"> $1.1 billion in 2021.<\/a><\/p>\n<p class=\"p1\">(Chord was founded in 2021 by <a href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/kkr\/\">KKR<\/a>\u00a0and Dundee Partners. <a href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/universal-music-group\/\">Universal Music Group<\/a> later acquired a 25.8% stake in Chord in 2024 via a <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-buys-240m-stake-in-chord-music-partners\/\">$240 million investment.<\/a> That deal, which saw Chord valued at<b>\u00a0$1.85 billion,<\/b>\u00a0resulted in\u00a0<a href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/kkr\/\">KKR<\/a> exiting its position in the company. Chord <a href=\"https:\/\/www.musicbusinessworldwide.com\/exclusive-chord-music-partners-raises-2-billion-in-investible-capital-with-another-1-billion-on-the-way\/\" target=\"_blank\" rel=\"noopener\">raised over<\/a> $2 billion in investable capital last year).<\/p>\n<p class=\"p1\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      <\/p>\n<p>An acquisition of Kobalt would address a long-standing gap in Primary Wave&#8217;s operations: the lack of its own publishing administration infrastructure.<\/p>\n<p><em>Billboard<\/em> noted that Primary Wave has historically relied on third-party administrators for royalty collections, and has more recently been routing assets to Universal Music Publishing Group where existing admin deals have expired and songwriters have agreed.<\/p>\n<p>Taking ownership of Kobalt&#8217;s platform would change that dynamic entirely \u2013 and would also hand Primary Wave control of <a href=\"https:\/\/www.musicbusinessworldwide.com\/amra-invested-more-than-50m-in-its-tech-to-date-with-most-of-it-spent-in-the-past-3-years\/\" target=\"_blank\" rel=\"noopener\">AMRA<\/a>, Kobalt&#8217;s digital royalty collection operation.<\/p>\n<p>AMRA&#8217;s model of collecting directly from streaming services, rather than routing payments through local societies and sub-publishers, could deliver meaningful margin improvements across Primary Wave&#8217;s catalog.<\/p>\n<p>The deal would also give Primary Wave exposure to the catalog assets Kobalt has been acquiring since its change of ownership. In 2023, Kobalt <a href=\"https:\/\/www.musicbusinessworldwide.com\/morgan-stanley-to-invest-more-than-700m-to-buy-music-kobalt\/\" target=\"_blank\" rel=\"noopener\">launched a joint venture with Morgan Stanley&#8217;s Tactical Value division, armed with over $700 million<\/a> to deploy into music rights. The venture has been focused primarily on publishing catalogs, as well as some master recording rights, reportedly including rights tied to *NSYNC and AJR.<\/p>\n<p>Kobalt has also <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-ups-spending-power-to-over-1bn-via-new-450m-revolving-credit-facility-plus-a-266-5m-raise-via-asset-securitization1\/\" target=\"_blank\" rel=\"noopener\">bolstered its financial capacity through new credit facilities and asset-backed securitization<\/a>.<\/p>\n<p>Another asset Primary Wave would inherit is <a href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-estimates-1bn-in-publishing-royalties-go-uncollected-each-year-it-just-launched-a-new-platform-called-kosign-to-help-indie-songwriters-collect-their-share12\/\" target=\"_blank\" rel=\"noopener\">KOSIGN<\/a>, Kobalt&#8217;s recently-launched publishing administration service aimed at independent artists and songwriters who lack the infrastructure to collect their own publishing royalties. BMG [1,113 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/bertelsmann\/bmg\/\" target=\"_blank\" rel=\"noopener\">BMG<\/a> Rights Management was reported to be in discussions to acquire <a class=\"link-relationship\" title=\"Companies &gt; Concord [508 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/concord\/\" target=\"_blank\" rel=\"noopener\">Concord<\/a>, in a deal that would bring together two of the world\u2019s biggest independent music companies.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" target=\"_blank\" href=\"https:\/\/www.bloomberg.com\/news\/articles\/2026-01-29\/bertelsmann-is-said-to-consider-buying-concord-music\" rel=\"noopener\"><em>Bloomberg<\/em><\/a> broke the news on January 29, reporting that the potential transaction could be worth up to $7 billion. <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" target=\"_blank\" href=\"https:\/\/www.billboard.com\/pro\/bertlesmann-reportedly-in-talks-buy-concord\/\" rel=\"noopener\"><em>Billboard<\/em> separately reported<\/a>\u00a0that the company could sell for more than $6.6 billion, citing its own sources close to the negotiations.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">BMG is a division of German media giant\u00a0<a class=\"link-relationship\" title=\"Companies &gt;
