{"id":243397,"date":"2025-10-28T13:27:56","date_gmt":"2025-10-28T13:27:56","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=243397"},"modified":"2025-10-28T14:45:30","modified_gmt":"2025-10-28T14:45:30","slug":"eu-restarts-probe-into-universals-775m-downtown-deal-sets-new-deadline-to-make-decision","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/eu-restarts-probe-into-universals-775m-downtown-deal-sets-new-deadline-to-make-decision\/","title":{"rendered":"EU restarts probe into UMG&#8217;s Downtown deal, sets new deadline to make decision"},"content":{"rendered":"<p>The European Commission has restarted its probe into Universal Music Group\u2018s proposed acquisition of Downtown Music Holdings.<\/p>\n<p>Europe&#8217;s competition authority temporarily <a href=\"https:\/\/www.musicbusinessworldwide.com\/eu-pauses-probe-into-universal-musics-775m-downtown-deal-report\/\" target=\"_blank\" rel=\"noopener\">paused<\/a> the inquiry into the deal in September while waiting for information requested as part of the investigation.<\/p>\n<p>With the probe now restarted, the EC has also set a new provisional deadline of <strong>February 6, 2026<\/strong>\u00a0to decide whether to clear the merger (with or without conditions) or prohibit it entirely if competition concerns cannot be adequately addressed.<\/p>\n<p>&#8220;We are continuing to work constructively with the European Commission,&#8221; on September 2.<\/p>\n<p>&#8220;The &#8216;clock&#8217; in merger investigations can be suspended if the parties fail to provide, in a timely fashion, an important piece of information that the Commission has requested from them (for its competition assessment) within a prescribed deadline,&#8221; a Commission spokesperson was <a href=\"https:\/\/www.reuters.com\/legal\/litigation\/eu-antitrust-regulators-halt-probe-into-universal-musics-downtown-deal-2025-09-04\/\" target=\"_blank\" rel=\"noopener\">cited by<\/a> <em>Reuters<\/em> as saying at the time.<\/p>\n<p class=\"p1\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      <\/p>\n<p>UMG\u2019s Virgin Music Group\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/universals-music-group-buys-downtown-music-for-775-million\/\" target=\"_blank\" rel=\"noopener\"><span class=\"s1\">revealed\u00a0<\/span><\/a>in December that it had agreed to buy\u00a0<b>Downtown Music Holdings\u00a0LLC\u00a0<\/b>in a<b>\u00a0$775 million<\/b>\u00a0deal.<\/p>\n<blockquote><p>&#8220;We are confident that the Commission will recognize the benefits of the transaction for artists, labels, and independent music in Europe, and clear the transaction in a timely manner.&#8221;<\/p>\n<p><span style=\"color: #000000;\">UMG<\/span><\/p><\/blockquote>\n<p>Europe&#8217;s competition regulator announced in April that it was <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-european-competition-regulator-to-assess-umgs-775m-acquisition-of-downtown-music\/\" target=\"_blank\" rel=\"noopener\">preparing to<\/a> investigate the proposed acquisition and <a href=\"https:\/\/www.musicbusinessworldwide.com\/eu-opens-in-depth-investigation-into-umgs-775m-downtown-deal\/\" target=\"_blank\" rel=\"noopener\">confirmed<\/a> in July that it had opened an in-depth (Phase 2) inquiry, following an <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/european-competition-regulators-to-make-initial-ruling-on-universals-775m-downtown-buyout-by-july-22\/\" target=\"_blank\" rel=\"noopener\">initial Phase 1 investigation.<\/a><\/p>\n<p>The EC said in a press release in July that it had &#8220;preliminary concerns that the transaction may allow UMG to reduce competition in the wholesale market for the distribution of recorded music in the European Economic Area (EEA) by acquiring commercially sensitive data of its rival record labels\u201d.<\/p>\n<p class=\"p1\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      <\/p>\n<p>As news arrives about the continuation of the investigation and updated timelines for a decision, the global music industry debate about the deal\u2019s implications continues.<\/p>\n<p>Last week, indie rep IMPALA <a href=\"https:\/\/www.musicbusinessworldwide.com\/now-impala-says-umg-downtown-deal-would-harm-cultural-diversity-universal-rubbishes-accusation-in-trade-bodys-new-paper\/\" target=\"_blank\" rel=\"noopener\">published<\/a> a paper titled \u201c<em>Universal\/Downtown \u2013 Why does it matter from a cultural diversity perspective?\u201d,<\/em> suggesting that UMG\u2019s proposed acquisition would damage \u201ccultural diversity\u201d by reducing revenues for independent labels, leading to fewer and less diverse music releases across Europe.<\/p>\n<p class=\"whitespace-normal break-words\">IMPALA\u2019s latest paper followed the organization\u2019s \u201c<a class=\"link-external\" target=\"_blank\" href=\"https:\/\/www.blockthedeal.com\/\" rel=\"noopener\">100 Voices<\/a>\u201d campaign launched earlier this month, featuring testimonies from indie reps\u00a0urging the EC to block the deal. Signatories included the heads of\u00a0<strong><a class=\"link-relationship\" title=\"Companies &gt; Beggars Group [325 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/beggars-group\/\">Beggars<\/a><\/strong>,\u00a0<strong><a class=\"link-relationship\" title=\"Companies &gt; Secretly Group [118 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/secretly-group-3\/\">Secretly Group<\/a><\/strong>, and\u00a0<strong>Exceleration Music<\/strong>, plus several smaller indie labels, and a collection of reps from trade bodies.<\/p>\n<p class=\"whitespace-normal break-words\">Earlier this month, <em><a class=\"link-relationship\" title=\"Companies &gt; Music Business Worldwide [382 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/music-business-worldwide-2\/\">Music Business Worldwide<\/a><\/em>\u00a0published a\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/what-indie-distribution-bosses-really-think-about-umgs-proposed-acquisition-of-downtown-and-fuga\/\" target=\"_blank\" rel=\"noopener\">collection of views<\/a>\u00a0from leaders in the global independent music distribution space on the topic of\u00a0<a class=\"link-relationship\" title=\"Companies &gt; Universal Music Group [4,310 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/universal-music-group\/\">Universal<\/a>\u2018s proposed $775 million takeover of\u00a0<a class=\"link-relationship\" title=\"Companies &gt; Downtown Music Holdings [507 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/downtown-music-holdings\/\">Downtown<\/a>.<\/p>\n<p>In September, Downtown Music CEO Pieter van Rijn issued an open letter commenting on UMG&#8217;s <a class=\"underline\" href=\"https:\/\/www.musicbusinessworldwide.com\/universals-music-group-buys-downtown-music-for-775-million\/\" target=\"_blank\" rel=\"noopener\">proposed acquisition<\/a> of his company. Van Rijn addressed what he calls \u201cwhispering campaigns of misinformation that we have seen pervade the public debate\u201d about the deal.<\/p>\n<p>In July, Virgin Music Group\u2019s bosses <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/nat-pastor-jt-myers-virgin-music-juvenile-downtown-acquisition\/\" target=\"_blank\" rel=\"noopener\">slammed<\/a>\u00a0what they called \u201cjuvenile and offensive falsehoods\u201d spread by opponents of VMG\u2019s planned Downtown acquisition.<\/p>\n<p>Also in July, over 200 people <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/200-people-sign-letter-20-execs-from-beggars-group-and-secretly-group-companies\/\" target=\"_blank\" rel=\"noopener\">signed<\/a>\u00a0a letter objecting to UMG\u2019s proposed takeover of Downtown, including 20 employees from\u00a0<a class=\"link-relationship\" title=\"Companies &gt; Beggars Group [316 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/beggars-group\/\">Beggars Group<\/a>\u00a0and\u00a0<a class=\"link-relationship\" title=\"Companies &gt; Secretly Group [110 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/secretly-group-3\/\">Secretly Group<\/a>\u00a0companies.<\/p>\n<p>On July 2, the\u00a0<strong>European Composer &amp; Songwriter Alliance<\/strong>\u00a0(<strong>ECSA<\/strong>) issued an open letter to the European Commission <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/european-composer-songwriter-alliance-urges-eu-to-block-umgs-acquisition-of-downtown\/\" target=\"_blank\" rel=\"noopener\">urging it<\/a> to block the planned acquisition.<\/p>\n<hr \/>\n<p>As\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/the-eu-is-investigating-umgs-775m-downtown-buyout-but-why-and-what-happens-now\/\" target=\"_blank\" rel=\"noopener\">previously reported<\/a>\u00a0by MBW, the UMG-Downtown deal did not meet the EU\u2019s standard turnover thresholds that would typically require notification to Brussels, but it did trigger notification requirements in both the Netherlands and Austria based on their respective national thresholds.<\/p>\n<p>The EC decided to look into the deal because the\u00a0<strong>Netherlands<\/strong>\u00a0triggered a legal mechanism in EU competition law called\u00a0<a class=\"link-external\" target=\"_blank\" href=\"https:\/\/competition-policy.ec.europa.eu\/system\/files\/2022-12\/article22_recalibrated_approach_QandA.pdf\" rel=\"noopener\"><strong>Article 22<\/strong><\/a>.
