Cyrille Bollor\u00e9, the son of French media mogul Vincent Bollor\u00e9, today (July 28) resigned from his position on Universal Music Group’s board with immediate effect.<\/p>\n

Outside of his non-executive directorship on UMG’s board, Cyrille Bollor\u00e9<\/strong> serves as the Chairman and Chief Executive Officer of France’s Bollor\u00e9 Group<\/strong>.<\/p>\n

An investor update from UMG issued today said that Bollor\u00e9<\/strong> was standing down to “focus his time and energy on the Bollor\u00e9 Group”<\/strong>.<\/p>\n

It added: “Mr. Bollor\u00e9 remains strongly supportive of UMG\u00b4s management team and strategy.”<\/strong><\/p>\n

It’s no great surprise that Bollor\u00e9 Jr.<\/strong> and Sr.<\/strong> may be rather busy right now: France’s equivalent to the SEC \u2013 the AMF \u2013 ruled last week that the Bollor\u00e9 Group<\/strong> has to make a public tender offer for Vivendi shares it doesn’t own in the next six months<\/a>.<\/p>\n

The move could potentially delist Vivendi<\/strong> from the public markets.<\/p>\n

According to Bloomberg<\/a>, even though Vincent Bollor\u00e9<\/strong> officially owns less than 30% of Vivendi, “A Paris court in April found that the French businessman effectively controls Vivendi through his Bollor\u00e9 SE holding company and controls the decisions made at its shareholders\u2019 meetings.”<\/p>\n

The Bollor\u00e9 Group announced today that it would be appealing<\/a> the AMF’s decision.<\/p>\n

Cyrille Bollor\u00e9’s departure from UMG’s board follows that of Bill Ackman<\/strong>, who resigned his non-exec position in May<\/a>.<\/p>\n

According to its website<\/a>, The Bollor\u00e9 Group owned an 18.5%<\/strong> stake in Universal Music Group at the close of 2024.<\/p>\n

In addition, it held 29.3%<\/strong> of Vivendi, which, in turn, owned approximately\u00a010%<\/strong> of UMG’s issued share capital<\/span>, according to Universal’s latest annual report.<\/p>\n

This implies that, via the Bollor\u00e9 Group, Vincent Bollor\u00e9<\/strong> controls around 21.4%<\/strong> of Universal’s share capital.<\/p>\n

An update from UMG<\/strong> in its annual report for 2024 showed that Vivendi SE had a capital interest of 14.59%<\/strong> in UMG as of December 10, 2024.<\/p>\n

However, that same note confirmed that on December 10, 2024, Vivendi “notified a short position of 4.65% as a result of its entry into a forward sale”<\/strong>.<\/p>\n

The annual report further confirmed that 4.65%<\/strong> of Vivendi’s 14.59%<\/strong> capital interest in UMG “represents a potential capital interest… as a result of its entry into an equity swap”.<\/p>\n

Vivendi<\/strong> is the previous owner of Universal Music Group<\/strong>.<\/p>\n

The music company was ‘spun out’ onto the Paris Euronext in 2021<\/a>, with Vivendi maintaining a 10%<\/strong> ownership stake.<\/p>\n
