{"id":236977,"date":"2025-07-23T21:33:21","date_gmt":"2025-07-23T20:33:21","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=236977"},"modified":"2025-07-23T21:53:22","modified_gmt":"2025-07-23T20:53:22","slug":"recognition-music-group-plans-372m-bond-sale-as-value-of-catalog-once-known-as-hipgnosis-songs-fund-continues-to-balloon","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/recognition-music-group-plans-372m-bond-sale-as-value-of-catalog-once-known-as-hipgnosis-songs-fund-continues-to-balloon\/","title":{"rendered":"Recognition Music Group plans $372m bond sale \u2013 as value of catalog once known as Hipgnosis Songs Fund continues to balloon"},"content":{"rendered":"<p>Recognition Music Group \u2013 the Blackstone-owned company that now controls the portfolio of music formerly known as Hipgnosis \u2013 is planning a $372-million issuance of five-year bonds backed by its multi-billion-dollar music catalog.<\/p>\n<p>That catalog includes recorded music and\/or publishing rights from\u00a0<span style=\"margin: 0px; padding: 0px;\">artists such as the\u00a0<strong>Red Hot Chili Peppers<\/strong>,\u00a0<strong>Journey<\/strong>,\u00a0<strong>Justin Bieber,<\/strong><\/span>\u00a0and <strong>Shakira<\/strong>.<\/p>\n<p>Proceeds from the transaction will be used to fund Recognition\u2019s reserve accounts, repay existing debt, cover certain transaction expenses, and go towards general corporate purposes, according to<a href=\"https:\/\/www.businesswire.com\/news\/home\/20250722410957\/en\/KBRA-Assigns-Preliminary-Ratings-to-Lyra-Music-Assets-Delaware-L.P.-Series-2025-1\" target=\"_blank\" rel=\"noopener\"> a report<\/a> from <strong>Kroll Bond Rating Agency.<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__tweeny hidden-xs hidden-ms hidden-sm\" data-loaded=\"no\" data-sizes=\"992 1200 1440\" data-name=\"628x90 Sponsor banner #5 (992+1200+1440)\" data-params=\"dfp_sponsor5_628\" id=\"dfp_sponsor5_628\"><\/div>      <div class=\"mb-advert mb-advert__banner mb-advert__banner--inline hidden-xs hidden-sm hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"480\" data-name=\"468x60 Sponsor banner #5 (480)\" data-params=\"dfp_sponsor5_468\" id=\"dfp_sponsor5_468\"><\/div>      <div class=\"mb-advert mb-advert__mobile mb-advert__mobile--inline hidden-ms hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"320 768\" data-name=\"300x50 Sponsor banner #5 (320+768)\" data-params=\"dfp_sponsor5_300\" id=\"dfp_sponsor5_300\"><\/div>      <\/div>      <\/span><\/p>\n<p>Kroll notes that the Recognition catalog&#8217;s assets include those from the &#8220;legacy&#8221; <strong>Hipgnosis Songs Fund<\/strong> (HSF) portfolio.<\/p>\n<p>According to Kroll&#8217;s report, based on a third-party valuation as of March 31, the catalog backing Recognition&#8217;s ABS transaction was worth <strong>USD $2.95 billion, <\/strong>inclusive of <strong>$340.8 million<\/strong> in additional assets that Recognition added to it.<\/p>\n<p>This suggests the portfolio that until recently was known as <strong>Hipgnosis Songs Fund<\/strong> (HSF) was worth <strong>$2.61 billion<\/strong> as of the end of March (excluding <strong>$340.8 million<\/strong> in additional assets added by Recognition.)<\/p>\n<p>It also suggests that the HSF music rights portfolio built by <strong>Merck Mercuriadis<\/strong> has been rapidly growing in value since funds controlled by <strong>Blackstone<\/strong> <a href=\"https:\/\/www.musicbusinessworldwide.com\/done-deal-blackstone-the-new-owner-of-hipgnosis-songs-fund-as-investment-giants-bid-wins-shareholder-approval\/\" target=\"_blank\" rel=\"noopener\">acquired it<\/a> in the summer of 2024.<\/p>\n<p>As recently as last October, KBRA <a href=\"https:\/\/www.musicbusinessworldwide.com\/the-hipgnosis-songs-fund-catalog-has-just-been-valued-at-2-36bn-around-150m-more-than-its-enterprise-value-when-acquired-by-blackstone\/\" target=\"_blank\" rel=\"noopener\">valued the HSF portfolio<\/a> at <strong>$2.36 billion;<\/strong>\u00a0Blackstone\u2019s purchase price for HSF several months earlier <a href=\"https:\/\/www.musicbusinessworldwide.com\/hipgnosis-songs-funds-catalog-turned-out-to-be-worth-more\/\" target=\"_blank\" rel=\"noopener\">implied a value<\/a> of <strong>$2.2 billion<\/strong>.<\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      <\/span><\/p>\n<p>According to KBRA\u2019s analysis, Recognition&#8217;s portfolio of around <strong>47,000<\/strong> master recordings, compositions, and related assets consists almost entirely of catalog. The weighted average age of the music is around <strong>21<\/strong> years, with <strong>76%<\/strong> released more than 10 years ago and <strong>96%<\/strong> released more than five years ago.<\/p>\n<p>KBRA describes it as a \u201clarge, diversified catalog with globally recognized songs and artists,\u201d but notes that its revenue is fairly concentrated: The top 10 songs in the portfolio account for around <strong>11%<\/strong> of the royalties.<\/p>\n<p>The rights in the portfolio are administered by numerous publishers and CMOs, among them <strong>Kobalt<\/strong>, <strong>Sony Music Publishing<\/strong>\u00a0and <strong>Universal Music Publishing Group<\/strong>.<\/p>\n<p>KBRA gave the bond issuance a rating of A, which is its third-highest ranking (high credit quality, low risk of default). It also noted that it expects to upgrade its rating on the previous bond issuance from Recognition, from A- to A.<\/p>\n<blockquote><p>\u201cStreaming revenues continue to represent a positive tailwind to industry growth and catalog cashflow, even as streaming growth rates have begun to decelerate in certain markets.\u201d<\/p>\n<p><span style=\"color: #000000;\">KBRA<\/span><\/p><\/blockquote>\n<p>That previous issuance of <strong>$1.47 billion<\/strong> in music asset-backed bonds <a href=\"https:\/\/www.musicbusinessworldwide.com\/blackstones-hipgnosis-closes-1-47bn-asset-backed-securities-transaction12\/\" target=\"_blank\" rel=\"noopener\">closed last November<\/a>, and has made Recognition\/Hipgnosis one of the most prolific issuers of ABS in the music industry. Its latest bond issuance uses the same music portfolio as collateral.<\/p>\n<p>\u201cStreaming is one of the primary drivers of music industry growth and represents the majority of royalty cashflows generated by the [Recognition] catalog,\u201d KBRA analysts wrote.<\/p>\n<p>\u201cStreaming revenues continue to represent a positive tailwind to industry growth and catalog cashflow, even as streaming growth rates have begun to decelerate in certain markets.\u201d<\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      <\/span><\/p>\n<p>The report cited <strong>IFPI<\/strong> data showing that streaming revenue from recorded music increased from <strong>$1.8 billion<\/strong>, or <strong>14%<\/strong> of all recorded music revenue, in 2014 to <strong>$20.4 billion<\/strong>, or <strong>69%<\/strong> of all recorded music revenue, in 2024.<\/p>\n<p>\u201cStreaming growth declines are not uniform across all markets, with saturation having more of an impact on developed markets versus undeveloped markets.
