{"id":100954,"date":"2021-02-01T12:59:38","date_gmt":"2021-02-01T12:59:38","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=100954"},"modified":"2021-02-01T19:20:05","modified_gmt":"2021-02-01T19:20:05","slug":"sony-music-buys-awal-and-kobalt-neighbouring-rights-from-kobalt-music-group","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/sony-music-buys-awal-and-kobalt-neighbouring-rights-from-kobalt-music-group\/","title":{"rendered":"Sony Music buys AWAL and Kobalt Neighbouring Rights from Kobalt Music Group"},"content":{"rendered":"<p>Well, this shakes up February.<\/p>\n<p>Sony Music Entertainment (SME) has entered into a definitive agreement to acquire two companies from Kobalt Music Group, MBW can reveal.<\/p>\n<p><strong>UPDATE: Sony Corporation has now confirmed that <a href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-sony-music-is-paying-to-buy-awal-and-kobalt-neighbouring-rights\/\" target=\"_blank\" rel=\"noopener\">the deal is costing Sony Music USD $430 million.<\/a><\/strong><\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__tweeny hidden-xs hidden-ms hidden-sm\" data-loaded=\"no\" data-sizes=\"992 1200 1440\" data-name=\"628x90 Sponsor banner #5 (992+1200+1440)\" data-params=\"dfp_sponsor5_628\" id=\"dfp_sponsor5_628\"><\/div>      <div class=\"mb-advert mb-advert__banner mb-advert__banner--inline hidden-xs hidden-sm hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"480\" data-name=\"468x60 Sponsor banner #5 (480)\" data-params=\"dfp_sponsor5_468\" id=\"dfp_sponsor5_468\"><\/div>      <div class=\"mb-advert mb-advert__mobile mb-advert__mobile--inline hidden-ms hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"320 768\" data-name=\"300x50 Sponsor banner #5 (320+768)\" data-params=\"dfp_sponsor5_300\" id=\"dfp_sponsor5_300\"><\/div>      <\/div>      \n<p>One of those companies is AWAL, the recorded music services firm that works with independent artists including Lauv, Finneas, AG Club, girl in red, Nick Cave &amp; The Bad Seeds, and Little Simz.<\/p>\n<p>The other is performance rights collection agency Kobalt Neighbouring Rights (KNR), which has <a href=\"https:\/\/www.musicbusinessworldwide.com\/ann-tausis-promoted-to-ceo-of-kobalt-neighbouring-rights\/\" target=\"_blank\" rel=\"noopener\">distributed more than $250 million<\/a> to over 2,000 artist and label clients since 2013, including the likes of Cardi B, Ed Sheeran, Ariana Grande, Concord, Secretly Canadian and others.<\/p>\n<p>So long as the acquisitions clear the usual regulatory conditions, both <a href=\"https:\/\/www.awal.com\/\" target=\"_blank\" rel=\"noopener\">AWAL<\/a> and KNR will become owned by Sony Music.<\/p>\n<p>The two ex-Kobalt companies will jointly form a new division at Sony Music, which the major says will be &#8220;enhanced by the technology and network&#8221; of SME\u2019s existing independent music distribution\/services company, The Orchard.<\/p>\n<p>Lonny Olinick will remain AWAL\u2019s CEO.<\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      \n<p>AWAL \u2013 which has also previously worked with the likes of Lil Peep, Tom Misch, R3hab, and Rex Orange County \u2013 offers indie artists services such as distribution, marketing, radio promotion, analytics, and synch.<\/p>\n<p>Under Sony Music, AWAL will operate outside of The Orchard, continuing to sign, develop and market its own artists. Now, as part of the global Sony ecosystem, we can dramatically expand on this vision for them.&#8221;<\/p>\n<p><span style=\"color: #000000;\">Lonny Olinick, AWAL<\/span><\/p><\/blockquote>\n<p>Reports in September last year suggested that Kobalt Music Group (KMG) was <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-set-to-sell-up-or-just-raise-capital\/\" target=\"_blank\" rel=\"noopener\">sounding out the market<\/a>\u00a0regarding a potential sale of its business and\/or a capital raise.<\/p>\n<p>Outside of AWAL and Kobalt Neighbouring Rights, two of Kobalt&#8217;s flagship divisions will now remain under the ownership of KMG: Kobalt Music Publishing (for music publishing), and AMRA (for global royalty collection).<\/p>\n<p>In the 12 months to end of to the end of June 2019, AWAL\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/kobalt-forecasts-profitability-next-year-after-firms-gross-collections-in-fy2019-hit-616m\/\" target=\"_blank\" rel=\"noopener\">saw its revenues<\/a> increase by 86% year-on-year to $111.5 million, according to a filing with UK Companies House. That FY2019 filing also revealed that AWAL posted a $3.3 million annual contribution margin, denoted as &#8220;gross margin less ongoing service costs&#8221;.<\/p>\n<p>In the same 12 months, Kobalt Neighbouring Rights generated $69.05 million in gross collections, while posting a $4.04 million annual contribution margin.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL.jpg\" target=\"_blank\" rel=\"noopener\"><a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL.jpg\" target=\"_blank\" rel=\"noopener\"><\/a><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL.jpg\" data-lightbox=\"image-set\" data-title=\"\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-80x54.jpg\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-80x54.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-160x108.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-320x216.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-418x282.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-648x437.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2021\/01\/AWAL-836x563.jpg 836w\" data-sizes=\"auto\"><i class=\"fas fa-search-plus magnifying-glass-icon\"><\/i><\/a><\/a><\/figure>\n<hr \/>\n<p>Sony Music&#8217;s acquisition of AWAL from Kobalt continues the major\u2019s strategy of acquisitive growth in the world of independent label and artist services, under Sony Music Group\u00a0Chairman\u00a0Rob Stringer.<\/p>\n<p>Last month, Sony Music\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/sony-music-acquires-distribution-company-human-re-sources-brings-in-j-erving-in-senior-role\/\" target=\"_blank\" rel=\"noopener\">announced the buyout<\/a>\u00a0of J.Erving\u2019s independent artist services company, Human Re-Sources, which has now become part of\u00a0The Orchard.<\/p>\n<p>In 2017, Sony Music and The Orchard acquired\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/the-orchard-bolsters-distribution-might-europe-finetunes-phonofile-acquisition\/\" target=\"_blank\" rel=\"noopener\">two European distributors<\/a>\u00a0\u2013 Phonofile and finetunes \u2013 which significantly boosted The Orchard\u2019s distribution market share in Europe.<\/p>\n<blockquote><p>&#8220;We strongly believe we can profitably grow The Orchard and expand the artist, label and distribution services that [Sony Music] provides to indie labels and unsigned artists \u2013 a growing segment in the digital music sphere.&#8221;<\/p>\n<p><span style=\"color: #000000;\">Rob Stringer, speaking in 2017<\/span><\/p><\/blockquote>\n<p>In April 2017, Rob Stringer <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/rob-stringer-sets-out-his-vision-for-sony-music-leadership\/\" target=\"_blank\" rel=\"noopener\">set out his vision<\/a> for his leadership of Sony Music, noting that the major&#8217;s future investment in The Orchard was a \u201ckey piece\u201d of its over-arching strategy.<\/p>\n<p>Said Stringer: \u201cWe strongly believe we can profitably grow [The Orchard] and expand the artist, label and distribution services that we provide to indie labels and unsigned artists \u2013 a growing segment in the digital music sphere.\u201d<\/p>\n<p>Sony\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/sony-fully-acquires-the-orchard-in-200m-deal\/\" target=\"_blank\" rel=\"noopener\">fully acquired<\/a>\u00a0the Orchard in March 2015, buying the half of the company it didn\u2019t already own in a $200 million deal.<\/p>\n<hr \/>\n<p>Kobalt\u2019s AWAL offers three different deal types, depending on the stage of an artist\u2019s career and the level of investment\/resource required.<\/p>\n<p>An \u2018AWAL Core\u2019 deal is rooted in basic distribution and is thought to charge around 15% of royalties generated by an artist;
